# The DAO council

The council consists of trusted, upstanding and active members of the DAO. In standing up the council and the project, the initial members of the council will be put forward by the founder.

Once the initiative has started operating and governance mechanisms have proven sustainable and profitable, the voting mechanism will be revisited by the council and subject to a vote by the community. In particular, this may include a dedicated committee developing and building out the SV-Edu and SV-advisory businesses.

## Membership

The Council will initially be constituted of members supported by a scribe taking notes, which will be shared with the holders in line with the transparency principle. The initial membership structure of the Council will be:

* DAO Contributor
* DAO Community Member (non-Contributor)

## Council mandate and powers

The Council is intended to provide oversight and coordinate strategic and operational set-up of the DAO. As such, it is entrusted with the following authority:

* Manage the multi-sig “cold wallet”: The Council will have the keys for the multi-sig cold wallet storing the DAO funds and NFTs currently not deployed by the SV-invest proposition. This separation of wallets is a security mechanism which we will describe further in the below section on Treasury management
* Strategic partnerships and decisions regarding organisation and operational matters: The Council will take lead on engaging with other projects on potential strategic partnerships, which may eventually be put to a vote by the NFTholders. In addition, the Council will coordinate any interactions with external parties, which may include commissioning services such as development or engagement of services as required. Any fees will be drawn from a specific part of the Treasury (see details in section on Treasury management below)
* Veto power. The Council possesses the ability to veto any proposal that is deemed to be harmful to the DAO. This includes membership of the Treasury and Investment Committee, which is our structure evaluating and executing investment opportunities within the mandate delegated by the NFTholders. In case of gross negligence by a member of the committee, the council has the power to suspend membership with immediate effect, including removing access to the multisig wallet. The Council must provide valid reasoning for the veto, as part of its responsibility to the Community. Ideally, the proposal should be vetoed prior to a governance vote taken by the community
* Committee screening framework: Develop and maintain a screening framework for membership of the Treasury and Investment Committee, which is used for the screening of candidates prior to them being put forward for election. Operating an investment business requires specific expertise, experience and a proven track record in DeFi or ancillary businesses. We see this as critical in delivering on the objectives of sustainability and integrity that are part of our founding values.
* Proposals and voting: Like every member of the DAO, the Council members will be eligible to put up a proposal for the DAO. The Council members shall partake in the governance vote taken by the DAO. However, the Council votes shall weigh the same as every other member of the DAO.

## Modus operandi

The Council will meet on at least a quarterly basis in a formal meeting to review progress against the roadmap and evaluate performance of the business areas. In addition, ad hoc meetings can be called in the case of any urgent matters by a community vote.

The scribe will take notes of the council discussions, which will be made available to the NFTholders. In case of material nonpublic information, the council may take a call to not disclose this until the information has been used to the benefit of the DAO. The rationale will be fully documented and be made available to holders as soon as feasible.
