# Treasury and Investment Committee

The DAO Treasury and Investment Committee is for operating the SV-invest business. We intend the committee to operate in close collaboration with the NFTholders, with individuals or self-managed working groups perform research and put forward proposals to be evaluated by the committee.

## Committee mandate <a href="#committee-mandate" id="committee-mandate"></a>

The Treasury and Investment Committee are entrusted with multisignature access to the hot wallet of the Treasury. The mandate of the committee is centered on the operation of the SV-invest business, with focus on:

* Identification and screening of investment opportunities and proposals prior to these being put forward to a vote
* Investment decision-making and execution within the authority delegated to the committee by vote
* Develop and propose risk and performance metrics that will be used to track performance and enable the DAO council to provide effective oversight

Given the different nature of requirements between opportunities in DeFi, NFT or other investments, the committee requires several levels of delegated authority set out in the below table:

The design of the mandate provides the committee with the ability to function effectively and in line with our sustainability objective, while ensuring the NFTholders get a vote in the investment process in a way enabling efficient operations.

## Committee membership <a href="#committee-membership" id="committee-membership"></a>

The committee will initially consist of 3-5 members of the NFTholders selected from a pre-screened pool of candidates shortlisted from applicants using the screening framework owned by the Council. Candidates put forward will be subject to a vote by NFTholders, with those with most votes taking a place on the committee.

NFTholders will equally be able to put forward proposals to remove a member of the committee, which will require a supermajority of 75% of voices outside the annual mandate renewal cycle where the same process as for initial election will be followed.

## Modus operandi <a href="#modus-operandi" id="modus-operandi"></a>

Given the dynamic nature of DeFi, the committee will meet formally on a weekly and ad hoc basis. There will also be direct communications of the committee via a dedicated discord platform to be able to move quickly on investment opportunities in DeFi.

Regular meetings are subject to minuting of the main outcomes of discussions, while any investment decisions and the supporting rationale are subject to full documentation and transparent disclosure to NFTholders. In the case of material non-public information, this may be subject to deferred disclosure following agreement by the Council.

A risk and performance dashboard will be designed, regularly refreshed and centrally accessible for all NFTholders. The DAO allocation and selected performance metrics will be subject to external disclosure via the different SeiventuresNFT platforms (e.g. Discord, Twitter, Website)
